Terms of Service

These terms govern your use of Pacha Exchange. By creating an account you accept them on behalf of the organization you represent.

1. The agreement

These terms are a contract between Pacha Exchange, Inc., a company incorporated in Delaware, United States with its place of business at 3114 Leland Street, Chevy Chase, Maryland 20815, United States, and the organization you sign up for. If you have a signed order form or service agreement with us, that document wins wherever the two conflict.

Pacha Exchange is for business use. By registering you confirm you are at least 18, you are acting for a business, and you are authorized to bind that business.

2. Accounts and access

  • Your organization's administrators decide who joins, what each member can see, and when access is removed.
  • Keep your credentials secret. You are responsible for what happens under your account until you tell us it is compromised.
  • Give us accurate registration and company details, and keep them current.
  • We may suspend access for non-payment, for a security risk, or for a breach of these terms, and we will tell you why.

3. Your data and content

Everything you upload stays yours. You grant us the licence we need to host it, display it to the counterparties and colleagues you share it with, process it through the platform's AI features, and back it up.

You confirm you have the right to upload what you upload, including any personal data about your own staff, customers and suppliers, and that doing so does not break a law or a contract you are bound by.

You can export your data while your account is active, and you can ask for an export within 30 days of closing it.

4. AI features

The platform uses large language models to read documents, propose reconciliations, answer questions about your data and generate export files. Content you submit to those features is sent to our AI provider for processing, as described in the Privacy Policy.

AI output is a draft for a person to check. It can be wrong, and it is not accounting, legal, tax or trading advice. Review it before you act on it. We are not liable for a decision you take on unreviewed AI output.

5. Trading between members

Pacha is the venue, not a party to your trades. Contracts you form with another member — price, quality, delivery, payment — are between the two of you. We do not guarantee any counterparty's identity, solvency, goods or performance, and we are not responsible for a dispute between members, though we will supply the platform records either side needs.

You are responsible for your own compliance: sanctions, export controls, food safety, customs and tax.

6. Plans, billing and cancellation

Core features are free. Paid plans are set up per company with our team, and the price, billing period and usage terms are shown on your Billing page before you activate anything.

  • Paid plans renew automatically at the end of each billing period, at the then-current price, until you cancel.
  • Cancel at any time from Billing, using Manage subscription. Cancelling takes one step and no phone call, and it stops the next renewal.
  • Cancellation takes effect at the end of the period you have already paid for; you keep access until then.
  • Fees already paid are not refunded unless the law requires it or we agree otherwise in writing.
  • Usage-based charges — AI usage and shipment tracking beyond your plan's allowance — are metered and shown on your Billing page, and are billed in arrears at the rates stated there.
  • We will give you at least 30 days' notice by email before a price change takes effect, and you may cancel before it does.
  • Payment card processing is handled by Stripe or Culqi. We never see your full card number.

7. Acceptable use

Do not use Pacha to break the law, to post something you have no right to post, to misrepresent who you are or who you act for, to scrape or resell the platform, to probe or overload our systems, or to upload malware. Do not use it to list goods you cannot supply.

8. Availability and support

We work to keep the platform available and we may take it down for maintenance. Unless a signed agreement sets a service level, the platform is provided as is, without a warranty of uninterrupted or error-free operation.

9. Liability

Neither side is liable for indirect or consequential loss, or for lost profit, revenue or data. Our total liability in any twelve-month period is capped at the fees you paid us in that period. Nothing here limits liability that cannot be limited by law, including fraud.

10. Termination

Close your account at any time by writing to administration@pachaexchange.com. We may terminate for a material breach you do not fix within 30 days of notice, or immediately for an unlawful or unsafe use. After termination we delete or return your data on the schedule in the Privacy Policy.

11. Changes, law and contact

We may change these terms. Material changes are announced at least 30 days before they take effect, and continuing to use the platform after that date means you accept them.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and the state and federal courts sitting in Delaware have exclusive jurisdiction, unless a signed agreement says otherwise. Nothing here removes a protection that the mandatory law of your own country gives you. The English version governs; other translations are for convenience.
